• Corporate Training and Skill Development.
• Management Consulting and Performance Optimization.

Specific deliverables, timelines, and commercial terms for any project will be governed by a separate Service Level Agreement (SLA) or Master Services Agreement (MSA) signed between RSNA Servitech and the Client.

2. Client Obligations and Commitments

To ensure the successful execution of your business setup and operations:

• Accurate Information: You agree to provide true, accurate, and complete information, documentation, and regulatory approvals required for us to perform the Services.
• Compliance: The Client is solely responsible for ensuring that their business model complies with all applicable local, state, and central laws.

3. Hiring and Recruitment Disclaimer

While RSNA Servitech conducts rigorous screening, background verification parameters (as agreed), and skill training for potential candidates:

• The final decision to hire any candidate rests entirely with the Client.
• We do not guarantee the long-term retention of any placed candidate unless explicitly covered under a replacement clause in your specific service agreement.
• The Client must adhere to labor laws and fair employment practices during and after the hiring process.

4. Intellectual Property

• Our Content: All content on this website, including text, graphics, logos, icons, and software, is the property of RSNA Servitech and is protected by intellectual property laws.
• Deliverables: Any training modules, operational frameworks, or management blueprints customized for your business will become your property upon full payment of the agreed service fees, subject to any retained proprietary methodologies of RSNA Servitech.

5. Fees and Payment Terms

• Clients agree to pay the fees outlined in the respective project proposal or invoice.
• All payments are subject to applicable taxes (e.g., GST) as per government regulations.
• Delayed payments may result in a temporary suspension of services, including recruitment pipelines or operational setup activities.

6. Confidentiality

Both RSNA Servitech and the Client agree to maintain strict confidentiality regarding all proprietary business data, trade secrets, financial details, and HR policies shared during the course of engagement. Non-Disclosure Agreements (NDAs) can be executed separately to reinforce this clause.

7. Limitation of Liability

RSNA Servitech acts as a strategic consultant and facilitator. We strive for operational excellence, but we cannot be held liable for:

• Any direct, indirect, or consequential business losses, revenue drops, or operational delays caused by market factors or client-side execution.
• Third-party software or vendor failures selected during the setup phase.

8. Termination of Services

Either party may terminate the ongoing engagement by providing written notice as specified in the signed service contract. Upon termination, the Client is liable to clear all outstanding dues for the work completed up to the termination date.

9. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts located in the city of our registered corporate office.
